Terms of Service
These terms govern your use of the AINurtura platform. Please read them carefully before creating an account or using our services.
By registering for an AINurtura account, accessing the platform, or clicking "I Agree" on any page, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are accepting on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.
1. Definitions
Throughout these Terms, the following definitions apply:
- "AINurtura", "we", "us", "our" — AINurtura Technologies Pvt. Ltd., the company operating the platform.
- "Platform" — the AINurtura web application, APIs, mobile interfaces, and all associated services available at ainurtura.com.
- "Tenant" — any business, organisation, or individual that registers a workspace on AINurtura.
- "User" — any individual who accesses the Platform under a Tenant's workspace (owner, admin, agent).
- "Subscription" — a paid or trial plan that grants a Tenant access to Platform features.
- "Lead Data" — any information about prospective or existing customers entered into or captured by the Platform.
- "Content" — templates, workflows, messages, scripts, and other materials created by Tenants within the Platform.
2. Eligibility & Account Registration
To use AINurtura you must: (a) be at least 18 years of age, (b) have the legal capacity to enter into binding contracts, and (c) not be prohibited from using the Platform under applicable laws.
When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at legal@ainurtura.com if you suspect unauthorised access to your account.
Each workspace (Tenant account) is tied to an organisation. The individual who creates the workspace is the Tenant Owner and holds administrative responsibility for all activity within it.
3. The Platform & Services
AINurtura provides a multi-tenant SaaS platform offering the following core capabilities:
- Lead capture, import, and management across multiple sources
- AI-powered lead scoring and prioritisation
- Visual pipeline and Kanban board management
- Workflow automation — automated sequences via WhatsApp, email, and SMS
- Unified conversation inbox for all communication channels
- Campaign management and broadcast messaging
- Template library for messages and workflows
- Task management and team collaboration tools
- Analytics dashboards and performance reporting
- Multi-user team management with role-based permissions
- Settings customisation including lead scoring configuration
We may add, modify, or discontinue features at any time. We will provide reasonable advance notice for material changes that may affect your workflow.
4. Subscriptions & Billing
4.1 Subscription Plans
AINurtura offers multiple subscription tiers (Starter, Professional, Enterprise) with different limits on leads, users, pipelines, and features. Current pricing is available on our Pricing page. All prices are inclusive of applicable taxes unless otherwise stated.
4.2 Free Trial
New Tenants are eligible for a 14-day free trial with full access to the selected plan. No credit card is required to start a trial. At the end of the trial period, a subscription must be activated to continue accessing the Platform.
4.3 Billing Cycle
Subscriptions are billed monthly or annually in advance. Annual plans receive a 20% discount. Invoices are issued at the start of each billing cycle and sent to the registered email address.
4.4 Payment Failure
If a payment fails, we will attempt to retry over a 7-day grace period. During this period, your workspace remains active but you will receive notifications to update payment details. If payment is not received within the grace period, your workspace will be suspended (data preserved) and then permanently deleted after 30 additional days of non-payment.
4.5 Refund Policy
Monthly subscriptions are non-refundable. Annual subscriptions may receive a prorated refund if cancelled within 14 days of renewal, subject to review. Trial periods are free and therefore not eligible for refunds. To request a refund, contact billing@ainurtura.com.
4.6 Plan Upgrades & Downgrades
You may upgrade your plan at any time — the change takes effect immediately and you will be charged a prorated amount for the remainder of the billing cycle. Downgrades take effect at the start of the next billing cycle. Downgrading to a lower plan with fewer seats or lead limits does not automatically delete data, but you will be required to reduce usage to comply with the new plan limits.
5. Acceptable Use Policy
You agree to use AINurtura only for lawful purposes and in accordance with these Terms. You must not:
- Send unsolicited bulk messages (spam) via any communication channel through the Platform
- Collect or process leads without the appropriate consent as required by applicable law
- Use the Platform to harass, threaten, or defraud any individual
- Attempt to reverse-engineer, decompile, or extract source code from the Platform
- Use automated scripts or bots to interact with the Platform outside of official API access
- Share your account credentials with unauthorised parties or resell access to the Platform
- Upload malicious code, viruses, or content that could harm our systems or other users
- Use the Platform to process data in violation of applicable data protection laws
- Misrepresent your identity or organisation when creating an account
- Use the Platform in any way that could damage, overload, or impair AINurtura's infrastructure
We reserve the right to suspend or terminate any account that violates this Acceptable Use Policy, with or without prior notice, depending on the severity of the violation.
6. Data Ownership & Licence
6.1 Your Data is Yours
All Lead Data, Content, and other data you input into AINurtura remains your property. You grant AINurtura a limited, non-exclusive licence to store, process, and transmit this data solely for the purpose of providing the Platform services to you. We do not claim ownership of your data.
6.2 Data Export
You may export your Lead Data at any time via Settings → General. Upon account closure, you have 90 days to export your data before it is permanently deleted from our systems.
6.3 Feedback & Suggestions
If you provide feedback, feature requests, or suggestions about the Platform, you grant us the right to use these ideas without restriction or compensation. We are not obligated to implement any feedback.
7. AI Features & Limitations
AINurtura's AI features — including lead scoring, workflow recommendations, and analytics insights — are provided as decision-support tools. By using these features, you acknowledge:
- AI scores and predictions are probabilistic in nature and not guaranteed to be accurate
- You retain full responsibility for all business decisions made using AI-generated insights
- AI features operate on the data available in your workspace; incomplete data may produce less accurate results
- AINurtura is not liable for business outcomes resulting from following AI recommendations
- You may configure, override, or disable AI scoring at any time via Settings → Lead Scoring
8. Team Members & Permissions
Tenants may invite team members to their workspace up to the limit of their subscription plan. The Tenant Owner is responsible for:
- Ensuring invited team members are authorised employees or agents of the organisation
- Assigning appropriate roles (Owner, Admin, Agent) and revoking access when team members leave
- All actions taken by team members within the workspace
- Ensuring team members are trained on acceptable use and data handling requirements
9. Communication Channel Compliance
When using AINurtura's automation features to send messages via WhatsApp, email, or SMS, you agree to:
- Obtain explicit consent from recipients before sending marketing or automated messages
- Comply with TRAI regulations (India) for SMS communications, including DLT registration where required
- Comply with WhatsApp Business Policy and Meta's terms when sending messages via the WhatsApp channel
- Honour opt-out requests promptly — AINurtura provides built-in unsubscribe handling
- Not send messages that are illegal, threatening, obscene, defamatory, or otherwise objectionable
- Ensure all communication templates comply with applicable channel-specific policies before activation
AINurtura is not responsible for penalties, fines, or legal action arising from your non-compliance with communication regulations.
10. Intellectual Property
All intellectual property rights in the AINurtura Platform — including software, algorithms, user interface designs, branding, documentation, and AI models — are owned by or licensed to AINurtura Technologies Pvt. Ltd. These Terms do not grant you any rights to use our trademarks, logos, or branding without prior written consent.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business purposes during the subscription term.
11. Confidentiality
Each party agrees to keep confidential any non-public information shared by the other party in connection with these Terms. This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; or (c) is required to be disclosed by law.
12. Warranties & Disclaimers
AINurtura provides the Platform on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that:
- The Platform will be uninterrupted, error-free, or completely secure at all times
- AI scoring or predictions will achieve any particular business outcome
- The Platform will be compatible with all third-party systems or integrations
- Data transmitted via third-party channels (WhatsApp, SMS) will be delivered without delay or loss
We provide a Service Level Agreement (SLA) for Professional and Enterprise plans committing to 99.5% uptime, excluding scheduled maintenance windows.
13. Limitation of Liability
To the maximum extent permitted by applicable law, AINurtura shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising from your use of or inability to use the Platform.
AINurtura's total cumulative liability to you for any claim arising under these Terms shall not exceed the total subscription fees paid by you to AINurtura in the 3 months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless AINurtura and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and costs (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of applicable law; (c) your communication activities via the Platform causing harm to third parties; or (d) any dispute between you and your leads or customers.
15. Term & Termination
15.1 By You
You may cancel your subscription at any time via Settings → Billing. Cancellation takes effect at the end of the current billing period. You can continue using the Platform until then.
15.2 By AINurtura
We may suspend or terminate your account if: (a) you breach these Terms and fail to remedy the breach within 7 days of notice; (b) you engage in activity that poses security or legal risks; (c) required by law; or (d) your subscription payment remains unpaid after the grace period.
15.3 Effect of Termination
Upon termination, your access to the Platform is revoked. Your data will be retained for 90 days to allow export, after which it is permanently deleted. Provisions relating to intellectual property, liability, indemnification, and dispute resolution survive termination.
16. Modifications to These Terms
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email and an in-platform notification. Your continued use of the Platform after the effective date of the updated Terms constitutes acceptance. If you do not agree to the updated Terms, you may cancel your subscription before the effective date.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation within 30 days of written notice.
If negotiation fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall take place in Bengaluru, Karnataka, India. The language of arbitration shall be English. Each party shall bear its own costs unless the arbitrator determines otherwise.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court to prevent irreparable harm.
18. General Provisions
- Entire Agreement — These Terms, together with the Privacy Policy and any Order Forms, constitute the entire agreement between the parties.
- Severability — If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- No Waiver — Failure to enforce any provision does not waive the right to enforce it later.
- Assignment — You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger or acquisition.
- Force Majeure — Neither party is liable for delays caused by events outside reasonable control (natural disasters, government actions, infrastructure outages).
- Notices — Legal notices to AINurtura must be sent to legal@ainurtura.com. We will send notices to the email address associated with your account.
